1. Agreement to Terms

This Terms of Service ("Terms") constitutes a legally binding agreement between you ("you," "User") and BestRemotely ("we," "us," "our"). By accessing or using our website and services (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.

2. Description of Services

BestRemotely is a platform designed to connect remote professionals ("Talent") with hiring organizations ("Companies"). Our services include, but are not limited to, featuring Talent profiles on our website and in newsletters ("Public Spotlight") and curating a confidential list of Talent for private introductions ("Private Listing"). BestRemotely acts as a facilitator and is not a party to any employment agreement or hiring decision made between Talent and Companies.

3. User Eligibility and Responsibilities

You must be at least 18 years of age to use the Services. By creating an account, you represent and warrant that all information you provide is accurate, current, and complete. You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. User Conduct

You agree not to use the Services to:

  • Provide any false, misleading, or inaccurate information.
  • Violate any applicable local, state, national, or international law.
  • Harass, abuse, or harm another person.
  • Scrape, data-mine, or otherwise extract data from our Services for any commercial purpose without our express written consent.
  • Infringe upon the intellectual property rights of others.

We reserve the right to suspend or terminate your account for any violation of these terms.

5. Terms for Talent

By submitting your profile, you grant us the right to review and vet your information. We reserve the right, in our sole discretion, to approve, reject, or remove any Talent profile at any time. You are solely responsible for the visibility option you choose ("Public Spotlight" or "Private Listing"). BestRemotely makes no guarantees of employment, interviews, or any specific hiring outcome.

6. Terms for Companies

By signing up as a Company, you agree to use the information of Talent solely for legitimate recruitment purposes for your own organization. You may not share, sell, or distribute Talent information to any third party. You agree to respect the confidentiality of Talent, especially those on our Private Listing. All hiring decisions, offers, and employment agreements are solely your responsibility.

7. Intellectual Property

All content on our Services, including text, graphics, logos, and software, is the property of BestRemotely or its licensors and is protected by copyright and other intellectual property laws. By submitting your content (such as your profile information and photo), you grant BestRemotely a worldwide, non-exclusive, royalty-free license to use, reproduce, and display that content in connection with providing the Services, consistent with your chosen visibility settings.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. BESTREMOTELY DOES NOT ENDORSE ANY USER AND IS NOT RESPONSIBLE FOR THE ACCURACY OF USER-SUBMITTED CONTENT OR THE CONDUCT OF ITS USERS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BESTREMOTELY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

10. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. You may terminate your account at any time by contacting us.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. We will notify you by updating the "Last Updated" date of these Terms. What constitutes a material change will be determined at our sole discretion.
